Each of the undersigned vendors ("Vendors"), jointly and severally, agrees to release,
hold harmless, and indemnify, the city of Granite City, and all lits employees, officers, attorneys, and
agents (jointly, "City", against any and all claims , from person, cause, and source, arising directly or
indirectly out of use of any space, stall, land, sidewalk, street, or lot owned by the City of Granite City, and
used or occupied by Vendor under the City's Downtown Open-Air Market Place. Be signing below, each
Vendor acknowledges receipt of a copy of that resolution of March 2, 2010, and agree to follow all of its
terms.
By signing below, we release, indemnify and hold harmless the City from and against all losses, claims,
damages, and suits, suffered by or claimed against the City by reason of any activities, repairs,
alterations, sales, marketing, or improvements by the Vendor, or caused by the Vendor's invitees,
customers, employees, or guests. Further, Vendor shall indemnify and hold harmless the City from all
liability and expense arising from injuries or damages to people or property on the subject premises and
arising out of the use of the premises by the Vendor. Finally, Vendor shall notify the City of any lawsuit
which is instituted or threatened against the City or Vendor identifying in any way relating to the Vendor's
occupancy or use of City property. Vendor is required to pay all attorneys fees and litigation costs of the
City as a result of said suit or court action described in this Release. Vendor waives any rights it may
have to subrogation from City.
The Vendor shall not allow a Mechanic's Lien or Materialmen's Lien to be filed against the property as a
result of improvements or alterations made by the Vendor. Further, to the extent such lien is filed, it
requires the Vendor to pay off said lien with ten (10) days of written notice from the City. If the Vendor
fails to do so, then the City may pay off the lien and charge the Vendor rent to recover the payment
(including any associated attorneys fees).
This release and indemnity must be signed by the Vendor, and extends to Vendor's successors and
assigns as well as all of its employees, their successors and assigns. No signor may withdraw his or her
signature.
